✦Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SniperTrader ("Company," "we," "us," or "our") governing your access to and use of all products, services, software, indicators, digital downloads, and content offered through snipertrader and its associated platforms.

By purchasing, downloading, installing, activating, or otherwise accessing any SniperTrader product, you unconditionally accept and agree to be bound by these Terms. If you do not agree, you must immediately cease all use and contact us within 3 days of purchase to request a refund under our policy outlined in Section 07.

These Terms apply to all products including but not limited to: the Unified Smart Money Engine (USME) indicator suite for ThinkorSwim (ThinkScript) and TradingView (Pine Script), the TraderEdge Performance OS journal application, the "From Broke to Funded" eBook, and any future products, updates, or supplemental materials.

⊡License Grant

Subject to full payment and your continued compliance with these Terms, SniperTrader grants you a limited, non-exclusive, non-transferable, revocable, single-seat personal license to install and use the purchased product solely for your own personal, non-commercial trading activities.

• Indicator licenses (USME ThinkScript / Pine Script): Licensed for use on a single ThinkorSwim or TradingView account registered in your name. You may install on up to 2 personal devices simultaneously.
• Digital documents (eBook, course materials): Licensed for personal reading and study only. No redistribution, printing for sale, or public sharing.
• Journal application (TraderEdge Performance OS): Licensed for use on your personal devices only. No multi-seat deployment without a separate commercial license.

This license does not constitute a transfer of title or ownership. All intellectual property rights remain exclusively with SniperTrader.

©Intellectual Property

All SniperTrader products, including all ThinkScript code, Pine Script code, indicator logic, signal algorithms, proprietary setups, brand assets, UI designs, course content, eBook text, and marketing materials are the exclusive intellectual property of SniperTrader and are protected by applicable copyright, trade secret, and intellectual property laws.

The Unified Smart Money Engine (USME) signal sequencing logic, the Setup of the Day (SOTD) alert tier framework (WATCH / PRIME / ELITE), and all associated proprietary methodology implementations are trade secrets of SniperTrader. Unauthorized disclosure constitutes misappropriation of trade secrets.

The SniperTrader name, logo, brand identity system, and all associated trademarks are the sole property of SniperTrader. You may not use our trademarks, branding, or name in any manner that implies endorsement, affiliation, or partnership without written permission.

⊘Limitation of Liability

To the fullest extent permitted by applicable law, SniperTrader and its owner(s), affiliates, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in any way connected with:

• Your use of or inability to use any SniperTrader product.
• Any trading losses, missed trades, or financial damages resulting from indicator signals.
• Errors, bugs, delays, or interruptions in product delivery or functionality.
• Unauthorized access to or alteration of your data or transmissions.
• Any third-party platform (ThinkorSwim, TradingView) changes that affect product functionality.

In no event shall SniperTrader's total aggregate liability to you exceed the amount you paid for the specific product giving rise to the claim in the twelve (12) months preceding the incident.

↺Refund Policy

Due to the digital nature of SniperTrader products, all sales are generally final. However, we offer the following limited refund consideration:

• 3-Day Review Window: If you are unsatisfied with your purchase, you may request a refund within 3 calendar days of purchase date, provided you have not violated any license restrictions and can demonstrate the product does not function as described.
• Technical Non-Delivery: If a product was purchased but not delivered due to a technical error on our end, a full refund will be issued within 5 business days of verification.
• No Refunds: Refund requests will be denied if the product has been used, shared, or if any license violation has been detected. Performance-based refunds ("the indicator didn't work for me") are not issued.

All refund requests must be submitted to support@snipertrader with your order number, proof of purchase, and reason for request. We reserve the right to accept or deny any refund request at our sole discretion.

↻Updates, Modifications & Termination

SniperTrader reserves the right to update, modify, discontinue, or terminate any product, service, or feature at any time without prior notice. We will make reasonable efforts to notify active licensees of significant changes via email.

Product updates within the same major version (e.g., USME v2.x) will be provided at no additional cost to active licensees. Major version upgrades may require a separate purchase or an upgrade fee.

We reserve the right to immediately terminate your license without refund if we detect or reasonably believe you have violated any provision of these Terms. Upon termination, you must immediately uninstall and destroy all copies of the product in your possession.

We also reserve the right to modify these Terms at any time. Continued use of any SniperTrader product following notice of changes constitutes your acceptance of the revised Terms.

🔒Privacy & Data

Your privacy is important to us. Our full Privacy Policy governs the collection, use, and storage of your personal information and is incorporated into these Terms by reference.

• License Validation: To enforce license restrictions, our products may collect and transmit a machine fingerprint (hardware hash) to our validation servers. No personally identifiable information is included in this fingerprint.
• Purchase Data: Order information, email addresses, and payment details are handled by our payment processors (Stripe, etc.) under their respective privacy policies.
• No Sale of Data: We do not sell, rent, or share your personal data with third parties for marketing purposes.
• Analytics: We may use anonymized usage analytics to improve our products. No trading data is collected from your brokerage account.

⊞Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), except where prohibited by applicable law.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Nothing in this section shall prevent SniperTrader from seeking injunctive or other equitable relief in any court of competent jurisdiction for the protection of its intellectual property rights.
